These Terms constitute a legally binding agreement between you and Mate Direct regarding your use of the Service. If you disagree with any part of these Terms, you must not access or use the Service.

2. Service Description and Limitations

2.1 Service Provision

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. We make no warranties or representations about the accuracy, reliability, completeness, timeliness, or suitability of the Service for any purpose. Your use of the Service is at your sole risk.

2.2 Technical Limitations

The Service is subject to the following technical limitations:

  • Maximum CPU usage: 90% per client
  • Memory limit: 500MB per client
  • Network bandwidth restrictions apply according to fair usage policies
  • Connection timeout: 30 seconds
  • Rate limiting: Maximum 5 messages per 2.5 seconds
  • Session duration: 24 hours maximum
  • Voice message maximum length: 3 minutes
  • Maximum message size: 10MB
  • Token usage subject to subscription plan limits

2.3 Service Availability

  • Target uptime: 99.9% (excluding planned maintenance)
  • No guarantee of uninterrupted service
  • We reserve the right to modify, suspend, or discontinue any feature at any time
  • We bear no liability for service interruptions, data loss, or modifications
  • Scheduled maintenance will be performed with reasonable notice when possible

3. WhatsApp Integration Disclaimer

IMPORTANT NOTICE: This is an UNOFFICIAL service that utilizes third-party open source libraries to interact with WhatsApp. Our integration is not affiliated with or endorsed by Meta Platforms, Inc. (formerly Facebook, Inc.) or WhatsApp LLC.

3.1 Non-Affiliation Statement

We explicitly state that:

  • We are NOT affiliated with, authorized by, endorsed by, or in any way officially connected with Meta Platforms, Inc. or WhatsApp LLC
  • WhatsApp name, logo, and other trademarks are property of their respective owners
  • Our service operates independently of WhatsApp's official platforms
  • Our functionality is subject to change based on WhatsApp platform modifications
  • We provide no guarantees regarding compatibility with future WhatsApp updates

3.2 Integration Risks

By using our Service, you explicitly acknowledge and accept the following risks:

  • Service stability depends on third-party libraries outside our control
  • We do not use the official WhatsApp Business API
  • WhatsApp may change its platform, potentially disrupting our Service
  • WhatsApp's terms of service may restrict certain automated interactions
  • We cannot guarantee continued functionality with WhatsApp
  • Your WhatsApp account could potentially be flagged or restricted by WhatsApp
  • Service interruption or termination may occur without prior notice

4. Multilingual Features and Translation

4.1 Language Detection and Support

Our Service includes language detection and multilingual support with the following provisions:

  • Automatic language detection is provided on a best-effort basis
  • We support multiple languages but do not guarantee complete accuracy
  • Language detection algorithms may occasionally misidentify similar languages
  • Uncommon languages or dialects may be incorrectly classified
  • Some languages may have limited functionality

4.2 Translation Services

Regarding our translation features:

  • Translations are provided by AI systems with inherent limitations
  • We do not guarantee 100% translation accuracy
  • Nuances, idioms, cultural references, and specialized terminology may not translate correctly
  • Translation consumes additional tokens from your plan
  • Some language pairs may have lower quality translations
  • We are not responsible for misunderstandings or errors resulting from translations

4.3 Voice Message Processing

Our voice message processing capabilities include:

  • Automatic transcription of voice messages to text
  • Maximum voice message length of 3 minutes
  • Transcription accuracy varies based on audio quality, accent, and background noise
  • Voice message processing consumes additional tokens
  • We do not permanently store the audio content of voice messages
  • We are not responsible for transcription inaccuracies or errors

5. User Responsibilities and Obligations

5.1 Legal Compliance

You are solely responsible for:

  • Compliance with all applicable local, state, national, and international laws and regulations
  • Obtaining all necessary permits, licenses, and consents for your use of the Service
  • The content of all messages and communications sent through the Service
  • Compliance with data protection and privacy regulations in your jurisdiction
  • Respecting third-party rights, including intellectual property rights
  • Ensuring you have legal right to use phone numbers for WhatsApp communication

5.2 Prohibited Activities

You shall not use the Service to:

  • Engage in automated mass messaging or spamming
  • Attempt to circumvent any technical limitations or security measures
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Access unauthorized parts of the Service or other users' accounts
  • Use the Service for any illegal, harmful, or fraudulent purposes
  • Interfere with the proper operation of the Service or its infrastructure
  • Transmit any viruses, malware, or other harmful code
  • Collect or harvest user data without proper authorization
  • Impersonate any person or entity or misrepresent your affiliation

5.3 Account Security

You are responsible for:

  • Maintaining the security of your account credentials
  • Protecting access to your WhatsApp connection
  • Promptly reporting any unauthorized access or security breaches
  • All activities that occur under your account
  • Keeping your contact information current and accurate
  • Logging out of unused sessions

6. Token System and Billing

6.1 Token Consumption

You acknowledge and agree that:

  • The Service operates on a token-based system
  • Each interaction with the AI assistant consumes tokens
  • Token consumption varies based on message length, complexity, and features used
  • Voice message processing and translation features consume additional tokens
  • Token usage is non-refundable and non-transferable
  • Service access may be suspended when token balance is depleted

6.2 Data Processing Impact

You understand and accept that:

  • Connecting larger Google Sheets databases results in higher token consumption
  • Each message requires processing against the entire connected database
  • Complex or extensive databases significantly increase token usage per interaction
  • You are responsible for optimizing your database structure and size
  • No refunds are provided for increased token consumption due to database size
  • Token usage optimization is your responsibility

6.3 Subscription and Payment

Regarding subscriptions and payments:

  • Subscription fees are charged according to the plan you select
  • We reserve the right to change pricing with reasonable notice
  • Refunds are provided only as required by applicable law
  • You are responsible for all taxes applicable to your subscription
  • Tokens expire at the end of your subscription period unless renewed
  • Subscription cancellation must follow our documented procedures

7. Limitation of Liability

7.1 Disclaimer of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MATE DIRECT, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Lost profits, revenue, data, or business opportunities
  • Business interruption or downtime
  • Cost of substitute services
  • Damage to reputation or goodwill
  • Any other damages arising out of or in connection with the use of the Service

REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF MATE DIRECT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7.2 Specific Disclaimers

We specifically disclaim liability for:

  • Message delivery failures or delays
  • Data inaccuracy, loss, or corruption
  • Service interruptions or unavailability
  • Actions or inactions of third parties, including WhatsApp
  • User-generated content or communications
  • Security breaches beyond our reasonable control
  • Technical malfunctions or errors
  • Force majeure events
  • AI-generated content accuracy or appropriateness
  • Transcription or translation errors
  • Voice message processing inaccuracies
  • Language detection or classification errors

7.3 Limitation of Liability Amount

In any case, our total liability to you for all claims arising from or relating to the Service shall not exceed the amount paid by you to Mate Direct during the three (3) months immediately preceding the event giving rise to the claim.

8. AI Processing Disclaimer

8.1 AI Limitations

You acknowledge the following limitations of our AI systems:

  • AI responses are generated based on patterns in training data
  • No guarantee of AI response accuracy, completeness, or appropriateness
  • Voice transcription accuracy depends on multiple factors
  • Translation quality varies by language pair and content complexity
  • Response times may vary based on system load and query complexity
  • AI may have biases or limitations inherent to its training
  • Content filtering may not catch all inappropriate content
  • AI context understanding has limitations

8.2 User Acknowledgment

You explicitly acknowledge that:

  • AI responses should be treated as suggestions, not definitive advice
  • Transcriptions may contain errors and require human verification
  • Translations may not capture nuances of the original text
  • Critical decisions should not be based solely on AI outputs
  • AI systems have inherent biases and limitations
  • We bear no liability for decisions made based on AI outputs
  • You are ultimately responsible for reviewing and validating all AI-generated content
  • AI should not be used for medical, legal, financial, or other professional advice

9. Intellectual Property

9.1 Our Intellectual Property

The Service, including its content, features, functionality, code, design, and underlying technology, is owned by Mate Direct and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. You agree not to copy, modify, distribute, sell, or lease any part of the Service or its technology.

9.2 Your Content

You retain ownership of the content you create or upload to the Service. By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt, and process your content solely for the purpose of providing and improving the Service.

10. Indemnification

You agree to indemnify, defend, and hold harmless Mate Direct and its officers, directors, employees, agents, licensors, and suppliers from and against all claims, losses, expenses, damages, and costs (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms or any applicable law
  • Your content or communications sent through the Service
  • Your use or misuse of the Service
  • Third-party claims related to your activities
  • Your violation of any third-party rights
  • Regulatory actions or legal proceedings resulting from your use
  • Any damages resulting from the above

11. Automatic Deactivation and Data Management

11.1 Automatic Deactivation

The Service implements automatic deactivation policies:

  • Assistant automatically deactivates after 14 days of inactivity
  • Service access is suspended when token balance is depleted
  • Reactivation requires manual reconnection by the user
  • No automatic reactivation is provided
  • All session data is cleared upon deactivation
  • You are responsible for monitoring your activity status

11.2 Data Retention and Management

Our data management practices include:

  • Chat messages are retained for a maximum of 24 hours
  • Voice message transcriptions are retained for a maximum of 24 hours
  • Inactive sessions are automatically terminated after specified periods
  • System logs are maintained for security and performance monitoring
  • We do not permanently store the audio content of voice messages
  • Translation caches are temporary and automatically expire

12. Security and Compliance

12.1 Security Measures

Our security measures include:

  • Automated security monitoring systems
  • Resource usage tracking and limitations
  • Incident detection and response protocols
  • Automatic session management and timeout
  • Data encryption during transmission
  • Access controls and authentication

12.2 Compliance Requirements

Users must comply with:

  • Resource usage limits defined in these Terms
  • Security monitoring requirements
  • Data protection regulations applicable to their jurisdiction
  • Incident reporting procedures
  • Acceptable use policies
  • WhatsApp's terms of service

13. Modifications and Termination

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Service. Your continued use of the Service after changes constitutes acceptance of the modified Terms. We will make reasonable efforts to notify you of significant changes.

  • Resource abuse or excessive usage

14. General Provisions

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Mate Direct is established, without regard to its conflict of law provisions. Any legal action arising out of these Terms shall be brought exclusively in the courts located within that jurisdiction.

14.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely matches the intent of the original.

14.3 Force Majeure

We are not liable for any failure or delay due to:

  • Natural disasters or acts of God
  • War, terrorism, or civil unrest
  • Government actions or regulations
  • Network or telecommunication failures
  • Power outages or energy shortages
  • Cyberattacks beyond our reasonable control
  • Other circumstances beyond our reasonable control

14.4 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Mate Direct regarding your use of the Service, superseding any prior agreements, communications, or proposals (oral or written) between you and Mate Direct.
